Senior Legal Counsel – M&amp;AKey Responsibilities:<ul class="PlaygroundEditorTheme__ul"><li value="1" class="PlaygroundEditorTheme__listItem">Serve as a trusted legal advisor to clients engaged in M&amp;A transactions, providing expert guidance and support throughout the process</li><li value="2" class="PlaygroundEditorTheme__listItem">Oversee and coordinate all legal aspects of M&amp;A transactions, from initiation to completion</li><li value="3" class="PlaygroundEditorTheme__listItem">Draft, review, and negotiate key legal documents, including Non-Disclosure Agreements (NDAs), Letters of Intent (LOIs), Share Purchase Agreements (SPAs), and Asset Purchase Agreements</li><li value="4" class="PlaygroundEditorTheme__listItem">Lead negotiations between involved parties, representing both buyers and sellers</li><li value="5" class="PlaygroundEditorTheme__listItem">Ensure full compliance with legal and regulatory requirements at every stage of the M&amp;A process</li><li value="6" class="PlaygroundEditorTheme__listItem">Collaborate closely with internal and external stakeholders, including internal teams, external legal counsel, and financial advisors</li><li value="7" class="PlaygroundEditorTheme__listItem">Conduct due diligence, reviewing legal documentation, financial statements, and contracts to assess risks and ensure informed decision-making</li><li value="8" class="PlaygroundEditorTheme__listItem">Identify potential risks and propose effective risk mitigation strategies</li><li value="9" class="PlaygroundEditorTheme__listItem">Stay up to date with industry trends, regulatory changes, and best legal practices in M&amp;A</li><li value="10" class="PlaygroundEditorTheme__listItem">Provide guidance, training, and mentorship to junior legal team members as needed</li></ul>

<ul class="PlaygroundEditorTheme__ul"><li value="1" class="PlaygroundEditorTheme__listItem">Master’s degree in Law, with a strong knowledge of Belgian law</li><li value="2" class="PlaygroundEditorTheme__listItem">Proven experience in a Legal Counsel or similar role, with significant exposure to M&amp;A transactions</li><li value="3" class="PlaygroundEditorTheme__listItem">Expertise in legal frameworks governing mergers, acquisitions, and corporate restructurings</li><li value="4" class="PlaygroundEditorTheme__listItem">Strong drafting and negotiation skills to effectively manage legal documentation and deal terms</li><li value="5" class="PlaygroundEditorTheme__listItem">Business-oriented mindset with the ability to provide commercially practical legal advice</li><li value="6" class="PlaygroundEditorTheme__listItem">Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and stakeholders</li><li value="7" class="PlaygroundEditorTheme__listItem">Highly analytical and detail-oriented, with the ability to assess legal risks effectively</li><li value="8" class="PlaygroundEditorTheme__listItem">Professional certification or membership in relevant legal organizations is a plus</li><li value="9" class="PlaygroundEditorTheme__listItem">Fluency in Dutch and/or French and English</li></ul>
