<ul class="PlaygroundEditorTheme__ul"><li value="1" class="PlaygroundEditorTheme__listItem">Facilitate the conduct of Board and shareholder meetings, including arranging, recording, and following up on actions and decisions.</li><li value="2" class="PlaygroundEditorTheme__listItem">Prepare and maintain minutes of meetings, ensuring documentation of discussions, deliberations, location, and exact times.</li><li value="3" class="PlaygroundEditorTheme__listItem">Submit drafts of the minutes to Board members for review and approval before signing.</li><li value="4" class="PlaygroundEditorTheme__listItem">Ensure that Board members promptly receive copies of minutes, information, and documents related to the company.</li><li value="5" class="PlaygroundEditorTheme__listItem">Facilitate the induction process for newly appointed members as instructed by the Chairman.</li><li value="6" class="PlaygroundEditorTheme__listItem">Prepare and execute the Board's training plan.</li><li value="7" class="PlaygroundEditorTheme__listItem">Ensure effective communication and information flow within the Board, between Board committees, and between the Board and company management.</li><li value="8" class="PlaygroundEditorTheme__listItem">Advise members on their legal obligations and responsibilities.</li><li value="9" class="PlaygroundEditorTheme__listItem">Advise the Board and its members on corporate governance principles and strategies.</li><li value="10" class="PlaygroundEditorTheme__listItem">Review the company’s procedures and provide direct advice to the Board.</li><li value="11" class="PlaygroundEditorTheme__listItem">Implement the Board's decisions, assist in executing corporate strategies, and ensure practical application of Board resolutions.</li><li value="12" class="PlaygroundEditorTheme__listItem">Record Board resolutions and voting results, keeping an organized record of attendees, expressed reservations, and ensuring all minutes are signed by attending members.</li><li value="13" class="PlaygroundEditorTheme__listItem">Maintain reports submitted to the Board and those prepared by the Board.</li><li value="14" class="PlaygroundEditorTheme__listItem">Ensure that Board members comply with actions approved by the Board.</li></ul>
